EU to warn UMG on Downtown Music takeover
The European Commission plans to state objections regarding Universal Music Group’s proposed $775 million purchase of Downtown Music Holdings. This formal warning signals preliminary competition concerns about the transaction, though most mergers avoid rejection by addressing regulatory issues through remedies or challenges before final decisions are reached.
UMG’s spokesperson expressed confidence that the deal will ultimately receive clearance by demonstrating benefits for artists, labels and independent music across Europe. The acquisition would bring distribution platforms including FUGA, CD Baby and Downtown Music Publishing into Universal’s Virgin Music Group portfolio. European regulators must reach a final determination by February 2026 following their extended Phase II investigation.
Independent music organizations have mounted significant opposition to the transaction. IMPALA welcomed the anticipated objections and continues advocating for the complete rejection of the merger, citing concerns about competition and diversity in European and global music markets.
